Terms of Service

These Terms govern your use of jogiitech.com and any engagement with Jogiitech ("we", "us"). Specific project terms are governed by a separate written Statement of Work (SOW); where the SOW and these Terms conflict, the SOW prevails.

Use of the site

The content on this site is provided for general information. You may not scrape, mirror, or use the content to train machine-learning models without our written permission.

Engagements & scope

Every engagement starts with a signed SOW that names the scope, deliverables, timeline, assumptions and acceptance criteria. Changes are handled through a written change order.

Intellectual property

  • Client deliverables: on full payment, the client owns the bespoke deliverables produced for them under the SOW.
  • Our tools and frameworks: we retain ownership of our pre-existing methods, templates, libraries and tools, and grant the client a perpetual licence to use them as embedded in the deliverables.
  • Open-source: third-party open-source components remain under their respective licences.

Payment

Fees, milestones and payment terms are set in the SOW. Default terms are net-15 from invoice date. Overdue balances may accrue interest at the maximum permitted by law and pause active work.

Confidentiality

We treat client information as confidential and use it only to perform the engagement. Mutual non-disclosure terms are part of every SOW.

Warranties & liability

We warrant that deliverables will materially conform to the SOW. To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages, and each party's total liability under an engagement is capped at the fees paid for the three months preceding the claim.

Termination

Either party may terminate an engagement for material breach not cured within 30 days of written notice. On termination, the client pays for work performed to date and we deliver all work-in-progress.

Governing law

These Terms are governed by the laws of the jurisdiction stated in the SOW. Disputes are resolved in the courts of that jurisdiction unless the parties agree to arbitration.
